Terms of Service

These Terms of Service ("Terms") govern your use of ReplyMaid, a service of ARKA Investments LLC, a Tennessee limited liability company ("we," "us"). By creating an account or using ReplyMaid, you agree to these Terms.

What ReplyMaid does

ReplyMaid monitors customer reviews on your connected business profiles, generates suggested replies using artificial intelligence, sends them to you for approval, posts approved replies on your behalf, and provides periodic summaries of your review activity. Where you enable automatic-approval rules, replies matching your rules may be posted without individual approval, subject to any cancellation window you select.

Your account and your responsibilities

• You must be at least 18 and authorized to act for the business you connect.
• You are responsible for the accuracy of the information you provide during setup and for keeping your settings (including automatic-approval rules) current.
• Replies posted through ReplyMaid are posted under your business's name, and you are responsible for their content. Approving a draft, or enabling automatic approval, is your decision as the business owner.
• You agree to use ReplyMaid in compliance with applicable laws and with the policies of the platforms you connect (including Google's terms and review policies).

AI-generated content

Suggested replies and summaries are generated by artificial intelligence. They may occasionally be inaccurate, incomplete, or otherwise imperfect. We provide drafting assistance, not legal, professional, or reputational advice, and you should review drafts before approving them. You are the publisher of any reply posted under your business's name.

Third-party platforms

ReplyMaid depends on third-party platforms (such as Google Business Profile) that we do not control. Their availability, policies, and technical interfaces may change at any time, and features of ReplyMaid may be modified or interrupted as a result. Your use of those platforms is governed by their own terms.

Fees and cancellation

Fees, if any, are described at sign-up or in your service agreement with us. Unless otherwise agreed in writing, service is billed month to month and you may cancel at any time, effective at the end of the current billing period. We may change pricing with at least 30 days' notice.

Termination

You may stop using ReplyMaid and disconnect your accounts at any time. We may suspend or terminate service for violation of these Terms, misuse of the service, or where required by law or by a connected platform. Upon termination, your data is handled as described in our Privacy Policy.

Disclaimers

ReplyMaid is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular business outcome, review rating, search ranking, or response time.

Limitation of liability

To the fullest extent permitted by law, ARKA Investments LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill, arising out of or related to ReplyMaid. Our total liability for any claim will not exceed the amounts you paid us for the service in the three months before the event giving rise to the claim (or one hundred dollars if you have paid nothing).

Indemnity

You agree to indemnify and hold us harmless from claims arising out of content you approve or publish through ReplyMaid, your violation of these Terms, or your violation of a third-party platform's policies.

Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Knox County, Tennessee, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the service before they take effect. Continued use after changes take effect constitutes acceptance.
